1. Who we are and what this agreement covers
AxisFinancial (the "Service") is a web application for construction and project-based companies. It covers procurement, stores, people and payroll records, accounting and controlling. It is provided by Unicorn Axis, Karachi, Pakistan ("we", "us", "our"). These Terms of Service ("Terms") are the agreement between us and the person or company that creates a workspace ("you", "the Customer").
By creating a workspace, signing in, or using the Service, you confirm that you have read these Terms and agree to them, and that you are allowed to bind the company you sign up for. If you do not agree, do not use the Service. Our Privacy Notice and Refund Policy are part of this agreement.
2. Your account and workspace
- You must give accurate details when you sign up and keep them up to date. The email address you register is how you and your colleagues sign in.
- The person who creates a workspace becomes its owner and Administrator. The Administrator decides who else may sign in, what role each person has, and what each role may see and do.
- You are responsible for everything done under your workspace's accounts. Keep passwords private, remove people who leave your company, and tell us promptly if you suspect someone has gained access who should not have.
- You must be at least 18 years old, or the age of legal capacity where you live, to create a workspace.
3. Plans, limits and what a plan includes
Every plan includes every module. Plans differ only in the number of projects and users they allow, which are shown on our pricing page and on the Plan and Billing screen in your workspace. The Free plan has no time limit and no card requirement.
- If you reach a limit, the Service refuses to create more of that item until you move to a bigger plan or free up room, for example by archiving a project or deactivating a user. Nothing already in your workspace is lost or stops working.
- We may change plan prices, limits or features. A change to a paid plan you already hold takes effect at the start of your next billing period, and we will tell you before it does. You can cancel or move to another plan before then.
- We may offer features we describe as beta or preview. They are provided as they are and may change or be withdrawn.
4. Fees, billing and taxes
- Paid plans are billed in advance, monthly or yearly as you choose, in US dollars unless the checkout shows another currency.
- Card payments are taken through our payment provider, Paddle, which acts as the seller of record and handles the checkout, card data, invoicing and applicable sales taxes. Your card details never reach our servers. Paddle's own terms apply to the payment itself.
- If you would prefer to pay by bank transfer, contact us and we will invoice you. A bank-transfer invoice is due within the period stated on it.
- Prices are shown before taxes unless the checkout says otherwise. You are responsible for any taxes, duties or withholding that apply to you and are not collected by Paddle.
- Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from the Plan and Billing screen or by contacting us. Cancellation stops the next renewal; it does not refund the period already paid except as set out in our Refund Policy.
- If a payment fails, we will tell you and try again. If it is still unpaid after a reasonable notice period, we may move your workspace to the Free plan or, where it exceeds the Free plan's limits, make it read-only until the account is settled. We will not delete your data for non-payment without notice.
5. Your data
- It is yours. You own the information you and your users put into the Service ("Customer Data"): your vendors, customers, employees, documents, payroll figures, ledgers and everything else. We do not claim any ownership of it.
- What we may do with it. You give us permission to store, process and display Customer Data only as needed to provide and secure the Service, to back it up, to give you support when you ask, and to meet our legal duties. We do not sell Customer Data and we do not use it for advertising.
- Separation. Each workspace is kept separate from every other workspace. Our staff do not browse Customer Data and will only access a workspace when you ask for support, when needed to fix a fault, or when the law requires.
- Getting it out. An Administrator can download a full backup of the workspace at any time from the Backup screen, and most lists can be exported to CSV. We recommend you do this regularly. See section 8.
- Personal data. Customer Data will include personal data about your own staff, vendors and customers. For that data you decide why and how it is used and we process it on your behalf. Our Privacy Notice explains how.
6. Acceptable use
You agree not to, and not to allow anyone else to:
- break the law, or use the Service to record, hide or support fraud, money laundering, bribery, tax evasion or any other unlawful activity;
- try to get into another customer's workspace, or probe, scan or test the Service's security without our written permission;
- upload malicious code, or send so much traffic that the Service is degraded for others;
- copy, resell, rent or white-label the Service, or build a competing product from it, unless we have agreed in writing;
- use the Service's interface or programming interfaces in a way that gets around plan limits;
- upload material you have no right to share, or that is defamatory or infringes someone else's rights.
We may suspend a workspace that is used in breach of this section, and we will tell you why unless the law prevents us.
7. The Service is a tool, not professional advice
AxisFinancial records and reports what you enter. It does not replace an accountant, an auditor, a tax adviser or a lawyer.
Reports, statements, tax and retention figures, payroll calculations, depreciation and other outputs are calculated from the information in your workspace and the settings you choose. You are responsible for checking that the information, settings and results are correct and suitable for your company, and for complying with the accounting, tax, payroll, labour and reporting rules that apply to you in Pakistan or wherever you operate. Account codes, tolerances, rates, document types and approval rules that we ship are starting points, not recommendations.
8. Availability, support and backups
- We work to keep the Service available and to fix faults quickly, but we do not promise it will be uninterrupted or error-free. We may carry out maintenance, and will try to do so at quiet times and to give notice of anything that takes the Service offline for long.
- Support is provided by email and WhatsApp during the hours shown on our contact page. Paid plans are answered first.
- Back up your own data. We take backups of our servers for our own disaster recovery, but you are responsible for keeping your own copies of Customer Data that you need. The Service asks Administrators to take a backup when they sign out, and we strongly recommend you accept and keep the file somewhere safe and off the server, for example on an encrypted drive.
9. Our intellectual property
We own the Service, including its software, design, text, logos and documentation, and all rights in them. We give you a limited, non-exclusive, non-transferable right to use the Service for your own business during the term of this agreement. You may print or share our user guide inside your own company. Feedback you give us may be used by us without restriction or payment.
10. Ending this agreement
- By you. You may stop using the Service at any time and cancel a paid plan from the Plan and Billing screen. You can ask us to close your workspace and delete its data by writing to info@unicornaxis.com from the owner's email address.
- By us. We may suspend or end your access if you materially breach these Terms and do not fix it within a reasonable time after we tell you, if you fail to pay, if we are required to by law, or if we stop offering the Service (in which case we will give you at least 60 days' notice and refund any prepaid period you will not be able to use).
- What happens to your data. After a workspace is closed we keep its data for 30 days in case you change your mind or need an export, then delete it from our live systems. Copies in our backups are overwritten in the normal backup cycle, within a further 60 days. We may keep limited records we are legally required to keep, such as billing records.
- Sections that by their nature should continue, including ownership, payment obligations already due, disclaimers, limits of liability and governing law, continue after this agreement ends.
11. Warranty disclaimer
To the fullest extent the law allows, the Service is provided "as is" and "as available". We do not give any warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will meet your requirements or be free of errors. Nothing in these Terms removes a right you have under law that cannot lawfully be excluded.
12. Limit of liability
To the fullest extent the law allows:
- we are not liable for any indirect or consequential loss, or for loss of profit, revenue, contracts, goodwill or data, arising from your use of the Service;
- our total liability for all claims arising out of or in connection with the Service in any twelve-month period is limited to the amount you paid us for the Service in the twelve months before the event that gave rise to the claim (or, on the Free plan, to PKR 10,000);
- nothing in these Terms limits liability that cannot be limited by law, such as for fraud or for death or personal injury caused by negligence.
13. Indemnity
You agree to compensate us for loss and reasonable costs arising from a third-party claim that is caused by your breach of these Terms, by your Customer Data, or by your use of the Service in breach of the law. We will tell you promptly of any such claim and give you reasonable help in dealing with it.
14. Changes to these Terms
We may update these Terms from time to time. For a material change we will give notice by email to the workspace owner or on the Service at least 30 days before it takes effect. If you continue to use the Service after the date the change takes effect, you accept the updated Terms. If you do not accept them, you may cancel before that date. The date at the top of this page shows when the Terms were last updated.
15. Governing law and disputes
These Terms are governed by the laws of Pakistan. We will first try to resolve any dispute through good-faith discussion. If that fails, the courts of Karachi, Pakistan have exclusive jurisdiction, except that either of us may seek urgent relief from any court that has jurisdiction. If a court finds any part of these Terms unenforceable, the rest stays in force.
16. General
These Terms, with the Privacy Notice and Refund Policy, are the whole agreement between us about the Service and replace any earlier understanding. You may not transfer your rights under them without our written consent; we may transfer ours as part of a sale of our business. A delay in enforcing a right is not a waiver of it. Notices to us should be sent to info@unicornaxis.com; we will send notices to the owner email address on your workspace.
